DEFINITIONS:

In this document, the following terms shall have the following meanings:

– “Buyer” refers to the organization or individual purchasing Goods.
– “Goods” denotes the articles and services supplied to the Buyer by Custom Cereal Boxes.
– “Seller” refers to Custom Cereal Boxes.

GENERAL:

– These Terms and Conditions apply to all sales and/or exchanges of Goods by Custom Cereal Boxes to the Buyer, excluding all other terms and conditions proposed or relied upon by the Buyer, unless otherwise agreed in writing by Custom Cereal Boxes.
– By creating a login account or making a purchase, the Buyer agrees to all present and future terms of service as outlined in this document and any relevant proposals by Custom Cereal Boxes.
– Any variations to these Terms of Service require written agreement from Custom Cereal Boxes.

PRICE AND PAYMENT:

– The price of Goods will be the Recommended Retail Price minus any agreed discount, unless otherwise specified in writing between both parties. Prices are exclusive of VAT or any other applicable costs.
– Payment terms will be explained by Custom Cereal Boxes through PayPal, Stripe, Authorize.net, or check, subject to the Seller’s discretion.
– If payment is not made by the due date, Custom Cereal Boxes reserves the right to require advance payment for undelivered Goods or refuse delivery without liability for non-delivery or delay.

SAMPLE

– Samples shown, shipped, or inspected by the Buyer are representative in nature, and the actual order may differ due to the creative and shipping process. Unfinished products may not meet final quality assurance standards.

DELIVERY, CANCELLATION, AND REFUND POLICY

– Delivery of Goods will occur on or near the advertised date by Custom Cereal Boxes, unless otherwise agreed in writing.
– Cancellation after purchase approval will not entitle the Buyer to a refund.
– All interactions with Custom Cereal Boxes, including emails, chat, and phone calls, grant permission for public use of customer reviews, photos, and videos, as well as other data provided during the interaction.
– All forms of interaction with Custom Cereal Boxes serve as an acceptance of all statements in these terms of service.
– Refunds are at the sole discretion of Custom Cereal Boxes, typically not exceeding 50% of the payment price.
– In the event of a full refund request, Custom Cereal Boxes may retain incurred expenses.
– All sales are final, and the Seller is not obligated to provide refunds.

RISK

– Risk in Goods passes to the Buyer upon receipt. The Buyer accepts full liability for changes in ranking and penalties related to their site, and the Seller makes no guarantees for specific results.

TITLE

– Title in Goods remains with Custom Cereal Boxes until full payment is received.

LIMITATION OF LIABILITY

– The Seller’s liability for any loss or damage shall not exceed the contract price.
– In all events of copyright infringement and legal actions, the maximum liability payment is $500, only if arbitration rules in favor of the Buyer. Legal fees in litigation will be reimbursed by the Buyer.

INTELLECTUAL PROPERTY RIGHTS

– All Intellectual Property Rights resulting from the performance of this Agreement become the property of the Buyer and/or end-user of Goods.

FORCE MAJEURE

– Custom Cereal Boxes shall not be liable for delays or failures due to events outside its reasonable control.

RELATIONSHIP OF PARTIES

– These Terms and Conditions do not establish a partnership or joint venture between the parties.

ASSIGNMENT AND SUB-CONTRACTING

– The contract may not be assigned or transferred by the Buyer without written consent from Custom Cereal Boxes.

WAIVER

– Failure to enforce any Terms and Conditions at any time shall not be considered a waiver of the right to enforce them later.

SEVERABILITY

– If any term is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

GOVERNING LAW AND JURISDICTION

– Legal proceedings shall be heard in the county and state of Custom Cereal Boxes’ discretion, unless stated otherwise.
